Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Orbit platform, website (paywithorbit.com), mobile applications, APIs, or any related services (collectively, the "Service"), operated by Orbit Technologies Ltd. ("Orbit", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease using the Service. Your continued use of the Service following any modifications to these Terms constitutes acceptance of those changes.

These Terms constitute a legally binding agreement between you and Orbit. They govern your access to and use of the Service, including all content, features, tools, and functionality offered on or through the Service.

2. Eligibility

To use the Orbit Service, you must: (a) be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater; (b) be legally capable of entering into binding contracts under applicable law; (c) not be a resident of, or located in, any jurisdiction where the use of cryptocurrency services or prepaid card services is prohibited by law; (d) not be listed on any government sanctions list, including but not limited to the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals list, the European Union sanctions list, or the United Nations Security Council sanctions list; and (e) not have been previously suspended or removed from the Service.

By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Service on behalf of a legal entity, you further represent and warrant that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to: (a) provide accurate, current, and complete information as prompted by the registration process; (b) maintain and promptly update your account information to keep it accurate, current, and complete; (c) maintain the security and confidentiality of your login credentials, including your password, two-factor authentication codes, and any API keys; (d) immediately notify Orbit of any unauthorized use of your account or any other breach of security; and (e) accept responsibility for all activities that occur under your account.

Orbit reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete, or if we reasonably suspect unauthorized or fraudulent activity. You may not create multiple accounts, transfer your account to another person, or use another person's account without permission. You are solely responsible for any activity that occurs under your account, whether or not you authorized that activity.

4. Description of Services

Orbit provides a platform that enables users to convert supported cryptocurrencies into fiat currency and load the converted funds onto virtual and physical prepaid Visa and Mastercard cards. These cards can be used for purchases at merchants worldwide that accept the respective card networks, as well as for online transactions, subscription payments, and, where available, ATM cash withdrawals.

Our services include, but are not limited to: (a) cryptocurrency wallet functionality for supported digital assets; (b) real-time cryptocurrency-to-fiat conversion; (c) issuance of virtual prepaid cards for immediate online use; (d) issuance of physical prepaid cards delivered to your registered address; (e) transaction history and account management tools; and (f) customer support.

Cards are issued by our partner financial institutions and card program managers pursuant to licenses from Visa International and/or Mastercard International. Orbit acts as the technology platform facilitating the conversion and loading of funds. The card issuer, not Orbit, is responsible for the card program terms and conditions that accompany each issued card.

5. Card Usage Rules

Cards issued through the Orbit platform are prepaid payment instruments. They are not credit cards, debit cards linked to a bank account, or deposit accounts. By using an Orbit card, you agree to the following:

  • Cards may only be used for lawful purchases of goods and services at merchants that accept Visa or Mastercard, as applicable.
  • Card balances are denominated in the fiat currency selected at the time of card creation (e.g., USD, EUR, GBP).
  • Maximum card balances, daily spending limits, and transaction limits apply and may vary based on your verification tier and applicable regulations.
  • Cards may not be used for illegal transactions, gambling (where prohibited), money transmission, or any activity that violates applicable law or card network rules.
  • Orbit and its card-issuing partners reserve the right to suspend, restrict, or terminate any card at any time if suspicious or prohibited activity is detected, or as required by law or card network rules.
  • Virtual cards are available for immediate use upon issuance. Physical cards are shipped to your verified address and must be activated before use.
  • You are responsible for all transactions made with your card, including those made by any person to whom you have provided access to the card details.

6. Prohibited Activities

You agree not to use the Service for, or in connection with, any of the following prohibited activities:

  • Violating any applicable local, state, national, or international law, regulation, or ordinance.
  • Money laundering, terrorist financing, tax evasion, or any other financial crime.
  • Purchasing goods or services that are illegal in your jurisdiction or the merchant's jurisdiction.
  • Using the Service to circumvent economic or trade sanctions imposed by any governmental authority.
  • Engaging in fraudulent transactions, chargebacks, or disputes filed in bad faith.
  • Attempting to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service.
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service.
  • Using bots, scrapers, or automated tools to access the Service without prior written consent from Orbit.
  • Interfering with or disrupting the integrity or performance of the Service or its underlying infrastructure.
  • Creating multiple accounts to evade restrictions, limits, or enforcement actions.
  • Using the Service to operate an unlicensed money services business, currency exchange, or payment processing service.

Orbit reserves the right to investigate and take appropriate legal action against anyone who, in Orbit's sole discretion, engages in any prohibited activity, including reporting such activity to the relevant law enforcement authorities.

7. Fees and Payments

Orbit charges fees for certain services, including but not limited to: cryptocurrency-to-fiat conversion, card issuance (virtual and physical), card loading, foreign currency transactions, ATM withdrawals (where available), inactivity, and account maintenance. All applicable fees will be clearly displayed before you confirm each transaction.

Fees are deducted from the conversion amount or card balance at the time of the transaction. Orbit reserves the right to modify its fee schedule at any time with at least 30 days' prior notice to active users. Continued use of the Service after the effective date of a fee change constitutes acceptance of the updated fees. The current fee schedule is available on our Pricing page and within the application.

You acknowledge that third-party fees may also apply, including but not limited to blockchain network fees (gas fees), ATM operator surcharges, and foreign exchange markups applied by merchants or card networks. Such third-party fees are not controlled by Orbit.

8. Cryptocurrency Risks and Volatility

By using the Service, you acknowledge and accept the following risks inherent to cryptocurrency:

  • Price Volatility: Cryptocurrency prices are highly volatile and can fluctuate significantly within short periods. The value of your cryptocurrency may decrease substantially between the time you initiate a transaction and the time it is processed.
  • Irreversibility: Blockchain transactions are irreversible once confirmed on the network. Orbit cannot reverse, cancel, or refund cryptocurrency transactions that have been broadcast to the blockchain.
  • Network Risks: Blockchain networks may experience congestion, forks, or other disruptions that can delay transaction processing or affect conversion rates.
  • Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and are subject to change. Changes in law or regulation may adversely affect the availability or functionality of the Service in your region.
  • Technology Risk: Blockchain technology and smart contracts may contain vulnerabilities or bugs. While Orbit implements robust security measures, no system is completely immune to risk.
  • Exchange Rate Risk: The exchange rates applied to cryptocurrency-to-fiat conversions are determined at the time of transaction confirmation and may differ from rates quoted at the time of initiation.

Orbit does not provide investment, financial, tax, or legal advice. You are solely responsible for evaluating the risks associated with using cryptocurrency and the Service.

9. Intellectual Property

The Service and its original content, features, functionality, design, graphics, logos, trademarks, and all related intellectual property (collectively, "Orbit IP") are and shall remain the exclusive property of Orbit Technologies Ltd. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Orbit IP without the prior written consent of Orbit.

All trademarks, service marks, and trade names displayed on the Service are the property of their respective owners. Nothing in these Terms grants you any right or license to use any third-party trademarks.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Orbit, its directors, officers, employees, agents, affiliates, partners, card-issuing partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with: (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party on or related to the Service; (c) unauthorized access, use, or alteration of your transmissions or content; (d) fluctuations in cryptocurrency prices or exchange rates; (e) blockchain network failures, delays, or congestion; or (f) any errors, bugs, or interruptions in the Service.

In no event shall Orbit's total aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of: (a) the total fees paid by you to Orbit during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Orbit, its directors, officers, employees, agents, affiliates, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; (e) any content or information you submit, post, or transmit through the Service; or (f) any fraudulent, negligent, or intentional misconduct on your part.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute"), you and Orbit agree to first attempt to resolve the Dispute informally by contacting us at [email protected]. We will attempt to resolve the Dispute within 30 days of receipt of your notice.

If the Dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration administered by a recognized international arbitration body. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You agree that any Dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than through arbitration, both parties waive any right to a jury trial.

13. Governing Law

These Terms and any Dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction of the courts of England and Wales for the resolution of any Dispute.

14. Termination

You may terminate your account at any time by contacting our support team or using the account closure feature within the application. Upon termination, you must cease all use of the Service. Any remaining card balance will be returned to you in accordance with our refund procedures, subject to applicable fees and regulatory requirements.

Orbit may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: (a) violation of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) failure to comply with identity verification requirements; (d) inactivity for an extended period as defined in our policies; (e) requests from law enforcement or government agencies; or (f) unexpected technical or security issues.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

15. Modifications to Terms

Orbit reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will notify you by posting the updated Terms on the Service with a revised "Last updated" date and, where appropriate, by sending a notification to your registered email address or through an in-app notification.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, AML/KYC Policy, and any other policies or agreements referenced herein or presented to you during account registration or card issuance, constitute the entire agreement between you and Orbit regarding the Service. These Terms supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.

No waiver of any provision of these Terms by Orbit shall be deemed a further or continuing waiver of such provision or any other provision. Orbit's failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
